MagicMeet Terms of Service
Last updated: July 19, 2025 These Terms of Service ("Terms") form a legally binding agreement between you ("you," "User," "Parent/Planner," or "Performer") and MagicMeet, LLC ("MagicMeet," "we," "us," or "our"). By accessing or using magicmeet.app, magicmeet.mysharetribe.com, or any related applications, tools, or services (collectively, the "Platform"), you agree to these Terms. If you do not agree, do not use the Platform.
Plain-language heads-up: MagicMeet connects people who want characters for events with performers who offer those services. We provide the marketplace, hold payments in escrow, and help with safety checks—but we are not the performer, and we aren’t at your event. Read the sections on liability and disputes carefully.
1. Definitions
- "Parent/Planner" – any individual or organization booking a character appearance.
- "Performer" – any individual or entity offering appearances (e.g., Santa, princess, mascot, carolers).
- "Listing" – a Performer’s public offer on the Platform.
- "Booking" – a confirmed transaction for a specific listing, date, duration, and price.
- "Services" – the marketplace features provided by MagicMeet (not the actual appearance).
2. Eligibility
You must be 18 or older to create an account or make/accept bookings. If you are booking for a minor’s event, you represent you are their parent or legal guardian, or have permission to act for them.
3. Account Registration & Security
Create an account with accurate information and keep your login credentials secure. You are responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms.
4. MagicMeet Is a Marketplace, Not the Service Provider
MagicMeet facilitates connections and payment processing but does not supervise, control, or guarantee the quality, timing, legality, or safety of any appearance. Performers act as independent contractors, not employees or agents of MagicMeet.
5. Listings & Booking Process
- Listings. Performers must provide truthful, non‑infringing descriptions, pricing, availability, and requirements.
- Booking Request & Acceptance. Depending on the listing type, bookings may auto‑confirm on payment or require Performer approval.
- Escrow. Payment is authorized or captured via Stripe and held until completion (see Section 6).
- Completion. After the event, the Performer (or system) marks the booking complete, releasing payout. If you have an issue, see Section 10 (Disputes & Refunds) before completion.
6. Payments, Fees, and Taxes
- Payment Processor. We use Stripe, Inc. ("Stripe") for payment collection and payouts. By using our Platform, you also agree to Stripe’s terms.
- Platform Fee. MagicMeet collects a service fee from each transaction (visible at checkout). Performers may also pay a fee on their payout.
- Payouts. Stripe Connect pays Performers after the booking is marked complete (minus fees). Delays or holds may occur due to Stripe’s compliance checks.
- Taxes. Performers are solely responsible for reporting and paying any taxes due on their earnings. MagicMeet may issue required tax forms (e.g., 1099-K) if mandated.
7. Cancellations & Refunds
- Parent/Planner cancellations. Each listing displays its cancellation window/fee. Outside that window, charges may apply or be non‑refundable.
- Performer cancellations. If a Performer cancels after acceptance, fees may be refunded to the Parent/Planner and the Performer’s account may face penalties.
- Force Majeure. Severe weather, illness, or emergencies may trigger rescheduling or refunds at MagicMeet’s discretion.
- Dispute escalation. See Section 10.
8. Performer Obligations
Performers agree to:
- Provide services exactly as described.
- Maintain all required licenses/permissions and respect third‑party intellectual property (see Section 12).
- Complete any background checks requested by MagicMeet or the Parent/Planner.
- Maintain appropriate insurance if required by law or by the event venue.
9. Background Checks & Verification Badges
We may offer or require background screening via third parties (e.g., Checkr). A “Verified” badge means the Performer passed specific checks at a point in time; it is not a guarantee of future conduct. MagicMeet may revoke badges at any time.
10. Disputes, Chargebacks & Our Resolution Process
- Report within 24 hours. If the appearance did not occur or was materially misrepresented, contact support before the Performer marks completion.
- Evidence. Provide photos, communication logs, or other proof.
- Resolution. We may offer partial/full refunds, credit, or decline a refund claim based on evidence. Our decision is final unless required otherwise by law.
- Chargebacks. If you file a chargeback, you authorize us to supply documents to Stripe/banks. You may be liable for chargeback fees.
11. Reviews & Content
Parents/Planners may leave reviews and ratings. You must post only honest, lawful content and avoid defamation or harassment. We may remove or edit content that violates our policies. MagicMeet may use anonymized quotes for marketing.
12. Intellectual Property & Character Rights
- Your content. You own your listing photos, videos, and descriptions. You grant MagicMeet a worldwide, royalty-free license to display and promote that content on the Platform.
- Third-party IP. Performers are solely responsible for ensuring they have the right to portray specific characters or use copyrighted/trademarked material. MagicMeet may remove listings alleged to infringe IP.
- MagicMeet IP. Our brand, logo, and platform designs are protected. Do not copy, scrape, or reverse-engineer without permission.
13. Prohibited Conduct
You agree not to:
- Use the Platform for illegal activity or to harm minors.
- Circumvent fees by taking transactions off-platform for the same booking.
- Post false, deceptive, or harassing content.
- Interfere with platform security, data, or infrastructure.
- Share others’ personal data without consent.
14. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. MAGICMEET DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT TO THE FULLEST EXTENT PERMITTED BY LAW.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGICMEET SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) FEES YOU PAID TO MAGICMEET IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
16. Indemnification
You agree to indemnify and hold MagicMeet harmless from any claims, damages, losses, and expenses arising from: (a) your use of the Platform; (b) your content or listings; (c) your violation of these Terms; or (d) your infringement of third-party rights.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Wisconsin, USA, without regard to conflict of laws. Any dispute shall be resolved through binding arbitration in Winnebago County, Wisconsin, unless both parties agree to small-claims court. You waive class actions and agree to individual arbitration. (Adjust jurisdiction to your counsel’s advice.)
18. Changes to Terms
We may update these Terms from time to time. Material changes will be posted on the Platform and become effective 14 days after posting (or sooner if required by law). Continued use after changes means you accept the updated Terms.
